Core Scientific keeps filing toward CoreWeave. Close is still a process.
Another 8-K, another stack of exhibits. The combination is real paper. It is not, yet, a converted campus.
Summary
Core Scientific filed an exhibit-heavy Form 8-K on August 27 (items 1.01, 2.03, 7.01, 9.01). CoreWeave is simultaneously current on its own 10-Q and 8-K stack. The market treats each increment as if the US mining fleet had already become a GPU-cloud footprint. It has not. A merger agreement generates filings. Energized HPC halls generate different filings — later.
Why it matters
CORZ and CRWV are one story until close, and two balance sheets until then. Hosting economics, change-of-control language, and residual mining load all still live in the exhibit packages. Pricing the pair as a single converted operator skips the remaining process risk.

- Existing Core Scientific sites do not automatically become CoreWeave cloud regions.
- Item 1.01 packages can reprice the deal economics without a new headline ticker.
